You can use Converter to clone the VM and then edit the resulting VM and restore the MAC address manually.
Alternatively if the partition you want to expand is the last partition on the disk, you can expand the VMDK file and then from within the VM expand the partition to absorb the additional free space at the end of the disk. You should be able to do this through Windows 2008 Disk Manager (given you are not expanding the system partition).
